Terms and Conditions
1. Definitions
In these Terms, unless the context requires otherwise, the following terms have the meanings set out below and form an integral part thereof:
Innotek – "INNOTEK MARKET" LLC (TIN 00534285, Republic of Armenia, Yerevan), an online store located at https://innotek.am/
Online Store – the Innotek website located at https://innotek.am/. Within the framework of these Terms, the concepts of "Online Store" and "Website", as well as the address https://innotek.am/ and its derivatives, are equivalent and interpreted identically.
Product – the subject of the agreement between the parties; the list of assortment items presented in the online store.
Order – a duly submitted request by the Buyer for the purchase and receipt of Products selected in the online store.
Site Visitor – a person who visits https://innotek.am/ without the intention of placing an Order.
Seller – a company entitled to sell goods in the online store under a valid official agreement.
Buyer – an individual who intends to order, purchase, or use a product (work, service) of Innotek.
Client – a Site Visitor or Buyer who is the second Party to these Terms.
Product Discount – a discount provided on a specific Product. The discount amount is indicated on the Product page. The price of the Product is shown inclusive of the promotional discount.
2. General Provisions
2.1. These Terms and Conditions (hereinafter referred to as the "Terms") govern the relationship between Innotek and the Client in connection with the use of the website, ordering and purchasing of products.
2.2. By using the website or placing an Order, the Client confirms that they have read these Terms, agree to them, and accept the obligations set forth herein.
2.3. Innotek reserves the right to amend these Terms at any time without prior notice. The amended version of the Terms takes effect from the moment of its publication on the website.
2.4. If the Client does not agree to the Terms or any part thereof, they must immediately cease using the website.
3. Placing an Order
3.1. The Client may place an Order through the website by adding a product to the cart and filling in the required details.
3.2. When placing an Order, the Client must provide accurate and complete information: first name, last name, phone number, and delivery address.
3.3. Innotek reserves the right to refuse to fulfil an Order if the information provided by the Client is inaccurate or incomplete.
3.4. After the Order is accepted, the Client receives a confirmation notification to the specified email address or phone number.
4. Prices and Payment
4.1. All product prices on the website are listed in Armenian Drams (AMD) or US Dollars (USD).
4.2. Innotek reserves the right to change product prices without prior notice. Changes do not apply to Orders that have already been placed.
4.3. Payment may be made by any method listed on the website: cash, bank card, or bank transfer.
4.4. Ownership of the Product passes to the Buyer upon full payment and receipt of the product.
5. Delivery
5.1. Products are delivered throughout the Republic of Armenia. Delivery terms and costs are listed in the "Delivery" section of the website.
5.2. Delivery times depend on product availability and the Client's location. Exact timelines are confirmed upon Order acceptance.
5.3. Upon receipt of the product, the Client must inspect the packaging for integrity. If external damage is found, the Client has the right to refuse to accept the product.
6. Returns and Exchanges
6.1. Returns and exchanges of products are carried out in accordance with the provisions of the Republic of Armenia Law "On Consumer Rights Protection".
6.2. The Client has the right to return a product of proper quality within 14 days, provided the product's appearance and consumer properties are preserved.
6.3. In the case of a defective product, the Client has the right to demand replacement, free repair, or a price reduction.
7. Personal Data Protection
7.1. Innotek collects and processes the Client's personal data solely for the purposes of fulfilling Orders, record-keeping, and communicating with the Client.
7.2. Innotek is obligated not to disclose the Client's personal data, except as required by the laws of the Republic of Armenia.
7.3. By using the website, the Client consents to the processing of their personal data for the purposes set out in these Terms.
8. Liability of the Parties
8.1. Innotek is not liable for temporary unavailability of the website, nor for consequences resulting from the Client providing inaccurate information.
8.2. Innotek is liable to the Client for service delivery timelines and product quality in accordance with the applicable legislation of the Republic of Armenia.
8.3. The parties are released from liability for improper performance of obligations if such non-performance is caused by force majeure circumstances.
9. Dispute Resolution
9.1. All disputes and disagreements that may arise in connection with the performance of these Terms shall be resolved by the parties through negotiation.
9.2. If a dispute cannot be resolved through negotiation, it shall be referred to the courts in accordance with the applicable legislation of the Republic of Armenia.
10. Final Provisions
10.1. These Terms are governed by the legislation of the Republic of Armenia.
10.2. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
